You can overwrite your existing plugin files with these new plugin files. It will then automatically upgrade things for you when you load the dashboard.

I would go ahead and hold off on doing so, we will be releasing 1.2 as an official release at the beginning of the week. It will then be available via automatic upgrade.

If I upload this to my plugin page, will it automatically override my existing Gravity Forms or do I have to deactivate the current one first?

We have released an update to the 1.2 BETA that is now available via the Downloads page to license holders. This is a single fix update that improves the integration between Gravity Forms and Justin Tadlock's Members plugin.

If you are a beta testing, this is an optional release. If you run into any issues installing Gravity Forms with the Members plugin that causes Gravity Forms to not appear in the WordPress menus until you add the appropriate capabilities to the Administrator role using the Members plugin, this version patches that issue.
