There is nothing wrong with the zip file, so it's probably due to how you uploaded the files or where you uploaded the files. The easiest way to install Gravity Forms is to follow the install instructions in the Documentation here:

http://www.gravityhelp.com/documentation/page/Getting_Started

Larry, if you've uploaded the unzipped plugin folder to your plugins directory properly, you don't need to go to the "add new plugin" link, you should automatically see it in your list of plugins and can activate it from there. If you don't, then you've simply done something wrong.

What I would suggest doing is deleting any instances of the gravityforms folder from the plugin directory and using the built-in WordPress installer... just navigate to the zip file on your desktop and let the installer do the work.

http://codex.wordpress.org/Managing_Plugins
http://codex.wordpress.org/Administration_Panels#Add_New_Plugins

There's no need to type in all caps by the way, it's really annoying.

Larry, would you provide the full path (on your ftp server) for the file "change_log.txt" please? Just to confirm that you uploaded GF correctly.

Gravity Forms isn't on the WordPress plugin repository so you won't find it searching there. You can download the plugin files from the downloads page on this site. ----->
